For the sale of the domain mbmsgroup.de by XSAVY GmbH.
1. Anbieter / Seller
Seller and registered owner of the domain mbmsgroup.de ("the Domain") is XSAVY GmbH, Otto-Heilmann-Straße 18 a, 82031 Grünwald, Germany (Amtsgericht München, HRB 276852). Contact: [email protected].
2. Kaufgegenstand / Subject of sale
The sale concerns EXCLUSIVELY the transfer of the registration of the internet domain mbmsgroup.de. It does NOT include any website, content, design, software, source code, email accounts, traffic, backlinks, rankings, goodwill, trademark, company, business, or any other right. Only the domain-name registration is transferred.
3. Preis / Price
The asking price is €4,875, plus statutory VAT where applicable. The price may alternatively be agreed by individual offer. The stated price is an asking price and is expressly NOT an appraisal, valuation, or guarantee of any market value.
4. Zustand & Gewährleistung / Condition & warranties
The Domain is sold "as is". The Seller makes no representation or warranty regarding its value, search-engine ranking, traffic, history, backlinks, fitness for a particular purpose, or that the Domain — or the Buyer's intended use of it — does not conflict with third-party rights (e.g. trademarks, names, competition law). Mandatory statutory warranty rights that cannot be excluded remain unaffected.
5. Prüfobliegenheit des Käufers / Buyer due diligence
The Buyer is solely responsible for verifying, before purchase, that the Domain and its intended use are lawful and suitable for the Buyer's purposes — including any trademark, naming, and competition-law considerations. The Seller provides no legal, tax, or investment advice.
6. Zahlung & Übertragung / Payment & transfer
Ownership transfer (via registrar / DENIC auth-code / transfer process) is initiated only after the full purchase price has irrevocably cleared. Transfer timing depends on the registrars and DENIC and requires the Buyer's cooperation. Rights to the Domain pass to the Buyer upon completed registrar transfer.
7. Nutzung durch den Käufer / Buyer's use
After transfer the Buyer is solely responsible for the lawful use of the Domain and shall not use it to infringe third-party rights or for any unlawful purpose. The Seller is not liable for the Buyer's use of the Domain.
8. Haftungsbeschränkung / Limitation of liability
For slight negligence the Seller is liable only for breach of material contractual obligations (Kardinalpflichten) and only for foreseeable, typical damage; liability for indirect or consequential damage is excluded. This does not limit liability for intent, gross negligence, injury to life, body or health, under the Produkthaftungsgesetz, or any other mandatory statutory liability.
9. Widerrufsrecht für Verbraucher / Consumer withdrawal
If the Buyer is a consumer (§13 BGB), a statutory 14-day right of withdrawal may apply to distance contracts. Where the Buyer expressly requests immediate transfer of the Domain, the right of withdrawal lapses once the transfer has been fully performed. Purchases by businesses (B2B) carry no right of withdrawal.
10. Rechtswahl & Gerichtsstand / Governing law
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For merchants, the place of jurisdiction is Munich, Germany.
11. Salvatorische Klausel / Severability
Should any provision of these terms be or become invalid, the validity of the remaining provisions shall not be affected.
12. Keine irreführenden Angaben / No misleading claims
All statements about the Domain are made in good faith. The Seller does not promise or guarantee any commercial outcome, valuation, ranking, or performance of any kind.
